City Sells Historic Wabash Railroad Depot

The city of Chillicothe will sell the old Wabash Railroad depot to Wabash BBQ, LLC, which has leased the facility for 
a barbecue restaurant for about 10 years. Chillicothe City Council members approved the sale agreement with a 4-0 vote during an executive session which followed the regular council meeting Monday evening at City Hall. Voting in favor of the sale were Councilmen David Moore, Reed Dupy, Wayne Cunningham and Tom Douglas. Councilman Paul Howard was absent. The property is located at 1 Elm Street, and the purchase price is $61,446.52. The closing date is August 15, 2016. The buyer will pay all the recording fees, the cost of any lender's title commitment and title insurance and one-half of the closing costs. The sale is "as-is," and the agreement states that the buyer has leased the property for many years and is familiar with the condition of the property, including the conditions of the buildings. There also are restrictive covenants included in the sale agreement. Among them is that the owner shall not demolish, remove, or materially alter the exterior of the two buildings (including changes to the exterior building materials, colors, height, architectural detailing, or general form or proportion of the buildings) on the property at the time of this deed as to preserve the architectural and historical integrity of the buildings, and no visual or structural alterations of the exterior of the building will be made without the prior written consent of the mayor. Additionally, the buyer shall maintain and repair the improvements on the property in accordance with all building codes, including the property maintenance code. The covenants shall be binding for 25 years and shall automatically renew for successive 10 year periods unless terminated by the city of Chillicothe. The signed agreement also gives the city right of first refusal. In the event of a contemplated sale of the property, the grantee or any successor in the title must give the city of Chillicothe a right of first refusal to purchase as to any bona fide offer of purchase. If the city does not elect to buy or does not respond to the offer within the 30-day period, then the grantee or its successor may complete the sale pursuant to the bona fide offer.
